Bryj Pilot Program Supplemental Terms

These Bryj Pilot Program Terms (“Pilot Terms”, “Terms”, “Pilot”) govern your participation in the Bryj Pilot Program and your use of Bryj ChatROI Service (“ChatROI”, “ChatROI Service”). By participating in the Bryj Pilot Program and using the ChatROI Service, you agree to these terms.

1. Introduction

These supplemental terms are an agreement between you and Bryj Technologies, Inc. (“Bryj”, “Company”, “We”, “Us”) and supplement the Bryj Master Subscription Services Agreement, Privacy Policy, Terms of Use, and Data Processing Agreement. If you do not agree to these supplemental terms, do not participate in the Pilot Program, and access or use the ChatROI Service.
These terms are intended to provide a general framework for the use of such pre-release services, ensuring that all participants understand and agree to the conditions under which these services are provided. In the event of a conflict between these supplemental terms and the Bryj Master Subscription Services Agreement, these supplemental terms shall prevail.

2. Pilot Definition

The term “Pilot” refers to all services provided by Bryj Technologies, Inc. (“Bryj”) that have not yet been released for general availability. This includes, but is not limited to, beta versions, preview releases, early access programs, and other similar offerings. The specific names and designations of the services provided under these terms may change over time. Notwithstanding any such changes, these Pilot Terms shall govern the private access to and use of products that are not yet publicly available.

3. Eligibility

Participation in the Pilot Program is by invitation only. The Bryj Pilot Program includes new platform products in the form of preview or beta programs for initial customers to use and evaluate. You acknowledge that the Pilot is designed for primary use in the development and testing of the application and service, prior to making the ChatROI Service generally available. The Pilot is provided as a pilot product version, and you assume all risks associated with its use.

By participating in the Pilot Program or using ChatROI Service, you are acknowledging and agreeing to these terms on behalf of your organization.

4. ChatROI Service

The ChatROI Service may include new product lines or changes to existing product features. By accepting these Pilot Terms, you are granted a non-exclusive, revocable, non-transferable, limited license to use the ChatROI Service. The ChatROI Service may be subject to usage limits as specified in applicable subscription.

5. Your Responsibilities

5.1 Data Input and Quality: You acknowledge and agree that the quality, accuracy, and relevance of the results produced by ChatROI are directly dependent on the quality, accuracy, and comprehensiveness of the data input provided by the you. You are solely responsible for ensuring that all data input into the ChatROI is a) accurate and up-to-date, b) sufficiently detailed and comprehensive, and c) relevant to the intended use and desired outcomes

5.2 Thoughtful Engagement: You understand that the effectiveness of ChatROI is enhanced by thoughtful and engaged use and agree to a) provide well-considered and detailed information when interacting with ChatROI and the Pilot Program, b) carefully review and validate the outputs and results provided ChatROI, and c) iterate and refine inputs as necessary to achieve desired outcomes.

5.3 Business-Specific Customization: You acknowledge that ChatROI’s ability to provide custom and accurate results tailored to their specific business needs is contingent upon a) your provision of detailed, business-specific information, b) your engagement in the initial planning and setup process of ChatROI, and c) your ongoing refinement and updating of business-specific data and parameters.

5.4 Continuous Improvement: You agree to actively participate in the continuous improvement of the ChatROI performance by a) providing feedback on the accuracy and relevance of results, b) reporting any discrepancies or unexpected outcomes, and c) collaborating with the Company to refine and optimize ChatROI for your specific use case.

6. User Consent

By participating in the Pilot Program and using the ChatROI Service, you consent to the following:

6.1 Data Processing: You consent to the collection, processing, and use of your personal data as described in the Data Privacy section.

6.2 Feedback Use: By participating in the Pilot Program, you agree to provide feedback to Bryj. Any feedback you provide belongs to Bryj, and you grant Bryj a perpetual, non-revocable, royalty-free worldwide license to use and incorporate such feedback into any of its products or services.

6.3 Communications: You consent to receive communications from Bryj related to the Pilot Program and the ChatROI Service. If you opt out of these communications, your participation in the Pilot Program will be terminated.

6.4 Confidential Information: The Pilot Program and ChatROI Service constitute Confidential Information as defined in the Bryj Master Services Agreement Terms. Unauthorized disclosure of this information may cause harm to Bryj.

6.5 Customer Campaign Data: During this Pilot Program, Customer agrees to allow deidentified, non-personal campaign data to be used by Bryj in an aggregated manner for internal purposes to improve Bryj products, programs and services.

7. Intellectual Property

Bryj owns all intellectual property rights related to ChatROI and the Pilot Program. You are not permitted to reverse engineer or attempt to decipher any code. No rights or permissions to any of Bryj’s services are granted except for the license provided herein. 

8. Term and Termination

These terms will remain in effect for as long as you use the ChatROI Service. Either party may immediately terminate these terms at any time upon written notice. Upon termination, you must immediately cease using the ChatROI Service and terminate from the Pilot Program.

9. Disclaimers

The ChatROI Service is provided on an “as is” and “as available” basis. It may contain bugs, errors, and other issues normal of pilot. You assume all risks and costs associated with your use of the Pilot service. Bryj is not obligated to provide any maintenance, technical, or other support for the ChatROI Service.

9.1 Warranty: The ChatROI Service is provided “as is” and “as available” without any warranties of any kind, either express or implied. Bryj disclaims all warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 No Guarantee of Results: Bryj does not guarantee that the ChatROI Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any defects in the service will be corrected.

9.3 Risk of Use: You acknowledge that your use of the ChatROI Service is at your sole risk. Bryj is not responsible for any damage to your computer system, loss of data, or any other harm that results from your access to or use of the ChatROI Service.

9.4 Third-Party Services: The ChatROI Service may include links to third-party websites or services. Bryj is not responsible for the content, accuracy, or opinions expressed in such third-party websites or services.

10. Limitation of Liability

You agree that the Company shall not be held liable for any inaccuracies, errors, or unsuitable outcomes resulting from a) incomplete, inaccurate, or outdated data provided by the you, b) your failure to provide sufficiently detailed or thoughtful inputs, and c) your misinterpretation or misapplication of ChatROI solutions and outputs.

Bryj and its affiliates shall not be liable for any indirect, special, consequential, or incidental damages, including loss of data, income, opportunity, or profits, arising from your use of the ChatROI Service.

11. Indemnification

You agree to indemnify Bryj for any third-party claims arising from your breach of these terms, your use of the ChatROI Service, or your violation of applicable laws.

12. Data Privacy

Bryj is committed to protecting your privacy and ensuring the security of your data. By participating in the Pilot Program and using the ChatROI Service, you agree to the following data privacy terms below and Bryj Privacy Policy Agreement:

12.1 Data Collection: Bryj may collect and process personal data and usage data as part of your participation in the Pilot Program. This data will be used to improve the ChatROI Service and for other internal purposes.

12.2 Data Security: Bryj implements appropriate technical and organizational measures to protect your data against unauthorized access, loss, or destruction.

12.3 Data Sharing: Bryj will not share your personal data with third parties without your consent, except as required by law or as necessary to provide the ChatROI Service.

12.4 Data Retention: Bryj will retain your data only for as long as necessary to fulfill the purposes for which it was collected or as required by law.

12.5 Data Privacy Rights: You have the right to access, correct, or delete your personal data as outlined in Bryj Technologies, Inc. Privacy Policy. You may also object to or restrict the processing of your data. To exercise these rights, please contact Bryj at support-chatroi@bryj.ai.

13. General

13.1 Changes to Terms: Bryj reserves the right to make changes to these terms at any time. Your continued use of the ChatROI Service after any changes indicates your acceptance of the updated terms.

13.2 Compliance with Laws: Both parties agree to comply with all applicable laws and regulations in connection with their performance, participation, access, and use of the ChatROI Service or Pilot Program.
